If you need to present a Panamanian Legal Entity Certificate abroad, the document may need to be authenticated, apostilled and translated before it can be submitted to the receiving authority.
Issued by the Public Registry of Panama, the Certificado de Persona Jurídica provides official information about a registered legal entity. The information certified depends on the entity and the scope of the request.
📄 1. Request the Appropriate Certificate
Before starting the process, confirm what information the receiving institution requires.
A foreign bank, business partner, government agency or other organization may request evidence of the entity’s registration, legal representation or other registered particulars.
Provide the entity’s registered name and registration details, such as its electronic folio number, to help identify the correct record.
🏛️ 2. Verify the Certificate’s Formalities
Make sure the certificate has been issued in a format suitable for authentication and apostille processing, with the applicable signature, seal and issuance date.
The Ministry of Foreign Affairs establishes signature and document requirements for these procedures. Any additional authentication needed should be confirmed before submission.
Keep the accompanying validation record. The Public Registry’s guidance states that its certificates are issued with a validation record for use as an original on a single occasion. The receiving institution determines how recently the certificate must have been issued and whether it accepts copies.
🌐 3. Obtain the Apostille
Once the certificate meets the applicable requirements, it can be submitted to the Ministry of Foreign Affairs of Panama for an apostille.
The Ministry issues electronic apostilles for eligible public documents. An apostille authenticates the document’s origin for presentation in a country where the Hague Apostille Convention applies; it does not certify the accuracy of its contents.
If the Convention does not apply, confirm the required legalization procedure.
🗣️ 4. Check Whether a Translation Is Required
If the receiving institution requires the certificate in another language, confirm whether it needs a certified or sworn translation, who may prepare it, and whether the certificate, validation record and apostille must all be translated.
You should also check whether the translation requires additional authentication.
✓ 5. Confirm the Destination Country’s Requirements
Before requesting the certificate, check the following with the foreign bank, registry, consulate or other receiving institution:
- The specific information the certificate must contain.
- How recently it must have been issued.
- Whether the original electronic document and validation record are required.
- Apostille or consular legalization requirements.
- Translation language and formalities.
- Whether additional corporate documents are needed.
